Reaves Utility Income Fund (the Fund) is a non-diversified, closed-end management investment company. The Fund's investment objective is to provide dividend income and capital appreciation. W.H. Reaves & Co., Inc. (Reaves) serves as the Fund's investment adviser. ALPS serves as the Fund's administrator. The Fund intends to invest at least 80% of its total assets in dividend-paying common and preferred stocks, and debt instruments of companies within the utility industry. The remaining 20% of its assets may be invested in other securities, including stocks, money market instruments and debt instruments, as well as certain derivative instruments in the utility industry or other industries.

During the fiscal year ended October 31, 2005 (fiscal 2005), the common stock of electric utilities averaged about 47% of the Fund's portfolio. The telephone sector, particularly rural telecom, was a significant source of dividend income for the Fund, with an average yield of 5.75% in fiscal 2005. The top five holdings of the Fund, as of October 31, 2005, were Duke Energy (7.1%), Ameren Corporation (5.8%), Altria Group (5.4%), Great Plains Energy (5.1%) and AT&T (4.1%).

    Harry Domash: Well, one that's really good for us has been Reaves Utility Income. It holds primarily US utility and telecom stocks and it's been a pretty good dividend raiser. The ticker is (UTG), paying about a 6.1% yield now and it's a good serial dividend increaser so it's a very good one.

    If you're worried about rising interest rates then Invesco Dynamic Credit Opportunities, ticker (VTA), invests in below investment-grade floating rate bank loans. In other words, these are called senior loans.

    They're bank loans that adjust their payouts based on prevailing interest rates, so if interest rates go up, these loans will pay higher dividends, so this is a good hedge if you are concerned about rising interest rates.

    Another one that's really performed, and it's paying a 6.9% yield right now, Guggenheim Strategic Opportunities, ticker (GOF), that's actually Claymore Guggenheim, holds corporate and government backed, that it's mostly investment-grade and it's paying a 10.1% yield right now, which is pretty high. Those are three that I could recommend right now.

China XD Plastics Company Limited (China XD), incorporated on November 16, 1999, is a specialty chemical companies engaged in the research, development, manufacture and sale of modified plastics primarily for automotive applications in China. Pioneer Natural Resources Company (Pioneer),incorporated on April 4, 1997, is an independent oil and gas exploration and production company with operations in the United States and South Africa. Permian Basin

The Spraberry field encompasses eight counties in West Texas. The field is approximately 150 miles long and 75 miles wide at its widest point. The oil produced is West Texas Intermediate Sweet, and the gas produced is casinghead gas with an average energy content of 1,400 British thermal unit. The oil and gas are produced primarily from four formations, the upper and lower Spraberry, the Dean and the Wolfcamp, at depths ranging from 6,700 feet to 11,300 feet. During the year ended December 31, 2011, the Company drilled 706 wells in the Spraberry field and its total acreage position approximated 820,000 gross acres (691,000 net acres). The Company has 44 rigs operating, of which 41 are drilling vertical wells and three are drilling horizontal wells. The Company completed its second horizontal well in the Upper/Middle Wolfcamp Shale in Upton County, Texas with a 30-stage fracture stimulation in a 5,800-foot lateral section. The Company is focusing its horizontal efforts on more than 200,000 acres in the southern part of the field to hold acreage. The Company continues to test down spacing in the Spraberry field from 40 acres to 20 acres. Sixteen 20-acre wells were drilled in 2011, with 10 of these wells having been placed on production. These 20-acre wells were drilled to the Lower Wolfcamp interval, with a few deepened to the Strawn interval.

Mid-Continent

The Hugoton field in southwest Kansas is a producing gas fields in the continental United States. The gas is produced from the Chase an! d Council! Grove formations at depths ranging from 2,700 feet to 3,000 feet. The Company�� Hugoton properties are located on approximately 284,000 gross acres (245,000 net acres), covering approximately 400 square miles. The Company has working interests in approximately 1,220 wells in the Hugoton field, approximately 1,000 of which it operates. The Company operates substantially all of the gathering and processing facilities, including the Satanta plant, which processes the production from the Hugoton field. In January 2011, the Company sold a 49% interest in the Satanta plant to an unaffiliated third party for the third party�� commitment to dedicate gas volumes to the Satanta plant. The Company is also exploring opportunities to process other gas production in the Hugoton area at the Satanta plant. By maintaining operatorship of the gathering and processing facilities, the Company is able to control the production, gathering, processing and sale of its Hugoton field gas and NGL production.

The West Panhandle properties are located in the panhandle region of Texas. These reserves are attributable to the Red Cave, Brown Dolomite, Granite Wash and fractured Granite formations at depths no greater than 3,500 feet. The Company�� gas has an average energy content of 1,365 British thermal unit and is produced from approximately 680 wells on more than 259,000 gross acres (252,000 net acres) covering over 375 square miles. The Company controls 100% of the wells, production equipment, gathering system and the Fain gas processing plant for the field.

Raton

The Raton Basin properties are located in the southeast portion of Colorado. The Company owns approximately 227,000 gross acres (201,000 net acres) in the center of the Raton Basin and produces CBM gas from the coal seams in the Vermejo and Raton formations from approximately 2,300 wells. The Company owns the majority of the well servicing and fracture stimulation equipment that it utilizes in the Raton field, allowing it to! control ! costs and insure availability.

South Texas Eagle Ford Shale and Edwards

The Company�� drilling activities in the South Texas area during 2011 were primarily focused on delineation and development of Pioneer�� substantial acreage position in the Eagle Ford Shale play. The Company drilled 94 horizontal Eagle Ford Shale wells during 2011, with average lateral lengths of approximately 5,500 feet and 13-stage fracture stimulations. EFS Midstream LLC (EFS Midstream) is obligated to construct midstream assets in the Eagle Ford Shale area. Eight of the 12 planned central gathering plants (CGPs) were completed as of December 31, 2011.

Barnett Shale

During 2011, the Company continued to increase its acreage position in the liquid-rich Barnett Shale Combo area in North Texas. In total, the Company has accumulated approximately 92,000 gross acres in the liquid-rich area of the field and has acquired approximately 340 square miles of three dimensional (3-D) seismic covering its acreage. The Company�� total lease holdings in the Barnett Shale play now approximate 142,000 gross acres (108,000 net acres). During 2011, the Company had two drilling rigs operating and drilled 44 Barnett Shale Combo wells. The Company also commenced operating a Company-owned fracture stimulation fleet in the area during the second quarter of 2011.

Alaska

The Company owns a 70% working interest and is the operator of the Oooguruk development project. The Company has drilled 12 production wells and eight injection wells of the estimated 17 production and 16 injection wells planned to develop this project.

International

During 2011, the Company�� international operations were located in Tunisia and offshore South Africa. During February 2011, the Company completed the sale of the Company�� share holdings in Pioneer Tunisia to an unaffiliated third party.

    Earnings at Pioneer were weighed down in the fourth quarter of last year by a $101 million non-cash impairment charge relating to its natural gas assets in the Barnett Shale. Earnings for that quarter were just $29 million; however, when you strip out that impairment charge as well as other one-time items in the quarter, earnings were $107 million. As you can see, these asset impairment charges can significantly distort earnings which is why you need to look at the complete picture. Overall, the effect of impairment for the year totaled $532.6 million at Pioneer thanks to several write-downs of its Barnett dry-gas properties in Texas.

    Looking around the rest of the country, lesser known oil basins like the Mississippian Lime or the Spraberry/Wolfcamp are believed to hold vast oil potential that could quickly be developed. In the Mississippian, SandRidge Energy (NYSE: SD  ) sees the potential for 3,000 wells in its core operating area. The company needs $9 billion just to develop that core, which is a lot more than its current availability of about $2 billion. Higher oil prices could help the company justify developing those wells even faster. Likewise Pioneer Natural Resources (NYSE: PXD  ) has the same capital problem in the land it controls. The company sees the potential for 40,000 future wells at a cost of $300-$400 billion, which is a lot more than this $25 billion company can handle at the moment.�

BIND Therapeutics, Inc., incorporated on May 19, 2006, is a clinical-stage nanomedicine platform company developing Accurins, its targeted and programmable therapeutics. Arcos Dorados Holdings Inc., incorporated on December 9, 2010, is a McDonald�� franchisee. As of December 31, 2010, the Company operated or franchised 1,755 McDonald��-branded restaurants, which represented 6.7% of McDonald�� total franchised restaurants globally. Company-Operated and Franchised Restaurants

The Company operates its McDonald��-branded restaurants under two basic structures: Company-operated restaurants operated by the Company and franchised restaurants operated by franchisees. Under both operating alternatives the real estate location may ! either be owned or leased by the Company. It owns, fully manages and operates the Company-operated restaurants and retains any operating profits generated by such restaurants, after paying operating expenses and the franchise and other fees owed to McDonald�� under the Master Franchise Agreements (MFAs). In Company-operated restaurants, it assumes the capital expenditures for the building and equipment of the restaurant and, if it owns the real estate location, for the land as well. Under its franchise arrangements, franchisees provide a portion of the capital required by initially investing in the equipment, signs, seating and decor of their restaurants, and by reinvesting in the business over time. It is required by the MFAs to own the real estate or to secure long-term leases for franchised restaurant sites. It subsequently leases or subleases the property to franchisees.

In exchange for the lease and services, franchisees pay a monthly rent to the Company, based on the greater of a fixed rent or a certain percentage of gross sales. In addition to this monthly rent, it collects the monthly continuing franchise fee, which generally is 5% of the United States dollar equivalent of the restaurant�� gross sales, and pays these fees to McDonald�� pursuant to the MFAs. However, if a franchisee fails to pay its monthly continuing franchise fee, it remains liable for payment in full of these fees to McDonald��. As of December 31, 2010, it was engaged in several joint ventures, which collectively owned 24 restaurants, in Argentina, Chile and Colombia.

Restaurant Categories

The Company classifies its restaurants into one of four categories: freestanding, food court, in-store and mall stores. Freestanding restaurants are the type of restaurant, which have ample indoor seating and include a drive-through area. Food court restaurants are located in malls and consist of a front counter and kitchen and do not have their own seating area. In-store restaurants are part ! of a larg! er building and resemble freestanding restaurants, except for the lack of a drive-through area. Mall stores are located in malls like food court restaurants, but have their own seating areas. As of December 31, 2010, 808 (or 46.2%) of its restaurants were freestanding, 359 (or 20.5%) were food court, 265 (or 15.1%) were in-stores and 319 (or 18.2%) were mall stores. In addition, it has four non-traditional stores, such as food carts.

Reimaging

As of December 31, 2010, the Company had completed the reimaging of 308 of 1,569 restaurants. Many of the reimaging projects include the addition of McCafe locations to the restaurant. It has developed system-wide guidelines for the interior and exterior design of reimaged restaurants.

McCafe Locations and Dessert Centers

McCafe locations are stylish, separate areas within restaurants where customers can purchase a range of customizable beverages, including lattes, cappuccinos, mochas, hot and iced premium coffees and hot chocolate. As of December 31, 2010, there were 267 McCafe locations in the Territories, of which 12% were operated by franchisees. Argentina, with 71 locations, has McCafe locations, followed by Brazil, with 67 locations. In addition to McCafe locations, it has Dessert Centers. Dessert Centers operate from existing restaurants, but depend on them for supplies and operational support. As of December 31, 2010, there were 1,306 Dessert Centers in the Territories.

Product Offerings

The Company�� menus feature three tiers of products: affordable entry-level options, such as its Big Pleasures, Small Prices or Combo del Dia (Daily Extra Value Meal) offerings, core menu options, such as the Big Mac, Happy Meal and Quarter Pounder, and premium options, such as Big Tasty or Angus premium hamburgers and chicken sandwiches and low-calorie or low-sodium products, which are marketed through common platforms rather than as individual items. These platforms can be based on the ty! pe of pro! ducts, such as beef, chicken, salads or desserts, or on the type of customer targeted, such as the children�� menu.
